Welcome to the ATENA Education Inc. platform

This platform is designed to support teachers and parents in the development of young people's learning.

Acceptance of Terms of Use

To use our content, you must agree to these Terms of Use. They constitute a contract between you and ATENA Education Inc. The following Terms of Use, together with any additional documents and/or terms they expressly incorporate by reference such as the Privacy Policy (collectively, the "Terms of Use"), govern your access to exercises, publications, information, data, and other materials we provide through our Platform.

What the Terms of Use Cover

They apply to everything we offer on the platform, including our:

  • Exercises, activities and publications;
  • Information and data; and
  • any other materials or content we provide.

Your commitment

Each time you use our platform, you confirm that:

  • You agree to these Terms without reservation.
  • You have the legal capacity to do this, for yourself and for anyone you represent (e.g., an organization).

If you do not agree to the Terms of Use or Privacy Policy, you must not access or use our platform.

OUR SERVICES

ATENA Education offers topical educational content for teachers and parents of children who want to enrich their children's learning. We call these contents and features our Services.

A Member is a person registered on our platform. This can be:

  • a teacher; or
  • a parent who wishes to enrich their child's learning.

Members can view or purchase our Services directly on the platform.

OUR SUBSCRIPTIONS

In order to access our Services, you must create an account by providing certain information in more detail in the Privacy Policy.

We offer three subscription options:

  • Purchase à la carte:
    • Choose and pay only for the exercises that interest you.
    • Ideal if you are a teacher or parent who wants to select specific activities.
  • Monthly subscription:
    • Access all the features of the platform and all the benefits reserved for Members.
    • You can cancel your subscription every month.
  • Annual subscription:
    • Enjoy the same benefits as the monthly subscription, but for a full year.
    • You can cancel your subscription every year.

PAYMENT, RENEWAL, CANCELLATION AND REFUND

Here's what you need to know about paying for and renewing your subscription:

  • Payment is taken on the day of purchase.
  • For monthly and annual subscriptions, the payment automatically renews on the same date each period (month or year).
  • The subscription remains active until you cancel it.

Cancellation: You can cancel your monthly or annual subscription at any time. After cancellation, you will retain access to your account until the end of the period already paid.

Refund: To the extent permitted by law, we do not offer refunds or credits for:

  • Partially used subscription periods; and
  • Unused Services.

USER ACCOUNT

To use certain features of our platform, you must create an account and authenticate.

  • Accuracy of Information: You have a duty to provide us with accurate information and to keep it up to date. The use of pseudonyms is not allowed to create an account.
  • Account Usage:
    • Your account is personal. You can't share it with another person.
    • You have a duty to protect your password and not to disclose it.
    • You are solely responsible for all actions taken from your account.
    • Security:
      • If you think your account or password has been compromised:
        • Change your password as soon as possible.
        • Let us know immediately.
        • ATENA Education's right to your account:
          • We can:
            • Cancel an account if we discover that it is being shared or transferred to another person.
            • Disconnect any concurrent sessions to protect account security.

PAYMENTS

We use Stripe, a third-party payment service provider, to process all payments made on our platform. By using our Services, you agree and understand that:

  • Transmission of information:
    • Your payment information is transmitted to Stripe to process your transactions.
    • Stripe complies with PCI-DSS security standards and uses state-of-the-art security measures to protect your information.
  • Conditions de Stripe :
    • Your transactions will be subject to  Stripe's Privacy Policy, available on their website.
    • By using our Services, you also agree to these terms.
  • Assistance :
    • If you have any questions or problems related to a payment made on our platform, please contact our customer service. We will work with Stripe to resolve the situation as best we can.
    • Motto:
      • All monies referred to in our platform are expressed in Canadian legal tender.

PROMOTIONAL OFFERS

We may, from time to time, offer offers, subscriptions, or promotional plans (the "Offerings"). Eligibility for Offers will be determined by ATENA Education in its sole discretion, and we reserve the right to cancel an Offer and suspend your account if we determine that you are not eligible. We may use information such as a device identification number, payment method, or email address associated with a current or recently canceled subscription to our Services to determine eligibility for an Offer. Eligibility criteria and other terms, conditions and restrictions will be disclosed to you when you register for the Offer or in other communications made available to you.

HYPERLINK

Our platform may contain hyperlinks to other sites, including social networks used by ATENA ÉDUCATION (referred to here as "third-party sites"). These hyperlinks are provided solely as a convenience to you. ATENA EDUCATION has no control over these third-party sites and their content. The fact that a link is present does not mean that ATENA EDUCATION approves or supports this third-party site.

ATENA EDUCATION is not responsible for the content of third-party sites, nor for the hyperlinks they contain, nor for any changes made to them. ATENA EDUCATION does not give any guarantee about them. Before using any third-party site, you should read its terms of use and privacy policy.

Any correspondence and business dealings with third parties through a hyperlink on our platform, including payment for goods or services, if any, or any other terms and conditions in connection with such transactions, are directly between you and that third-party site. Consequently, ATENA EDUCATION cannot at any time be held liable for any loss or damage whatsoever resulting from this relationship, including, without limiting the generality of the foregoing, with respect to any payment.

INTELLECTUAL PROPERTY

The content available on our site or platform (texts, images, videos, logos, documents, exercises, etc.) is protected by intellectual property laws, including copyright and trademarks.

This content is owned by us or is used with the necessary permissions.

Unless you have written permission in advance, you may not:

  • Reproduce, modify or distribute the content, even partially;
  • Sell or commercially exploit the content;
  • Use our names, logos, or visual elements for personal or business purposes.

Any unauthorized use may result in legal consequences.

USE AND REPRODUCTION OF THE FINAL RENDERING

Each exercise on our platform includes a summary document of key learnings, called the "Final Rendering". Once the exercise is completed, you can keep this document.

We authorize you to use the Final Rendering for your personal or professional needs, in the context of study, research or educational activities. You can:

  • Consult it
  • Download it
  • Print it

This authorisation is subject to the following conditions:

  • You must retain the original, author, and copyright notices.
  • You may not publish or share the Final Render widely, either for free or for a fee.
  • You may not modify, reformat, or create a derivative work of it.
  • You must not make it appear that you are the author (unless you are).
  • You cannot display it on a website by hiding that it comes from ATENA Education.
  • You cannot build a database from Final Renders.

All other rights are reserved to ATENA Education and its partners.

USER SUGGESTIONS

If you choose to contact us about improvements to our platform or the Services we offer ("Suggestions"), you agree to assign to us all right, title and intellectual property interest in and to those Suggestions. In addition, you authorize us to use such Suggestions without restriction and waive any of your moral rights under  the Copyright Act of Canada in your Suggestions, to the extent that such rights may be waived in each applicable jurisdiction. You represent to us that your Suggestions do not contain confidential information or information that is the property of other persons and you acknowledge that:

  • We have no obligation of confidentiality in relation to the Suggestions;
  • We are permitted to use or disclose (or choose not to use or disclose) the Suggestions for any purpose, in any manner, in any medium, anywhere in the world;
  • We may have already considered or be in development for the same or similar items mentioned in your Suggestions;
  • You will not receive any compensation or reimbursement under any circumstances in which the Suggestions are communicated to us; and
  • We are not obliged to follow these Suggestions, although we may consider them.

PRIVACY

By accessing our platform, submitting some of your personal information, and using our Services, you consent to the collection, use, reproduction, hosting, transmission, and disclosure of any information submitted in accordance with our Privacy Policy, as we deem necessary for the use of our Services.

By using our Services, you consent to the use of cookies that allow a server to remember previous requests or records and/or IP addresses to analyze usage patterns of our Services.

PROHIBITION OF DATA EXTRACTION

The use of automated systems or software to extract data from our platform for commercial reasons or other than those authorized herein is strictly prohibited unless you enter into a license agreement directly with ATENA Education that authorizes this or if such extraction is done using an extraction feature explicitly offered by ATENA Education.

PROHIBITION OF TRAINING ARTIFICIAL INTELLIGENCE

It is strictly forbidden to reproduce, in whole or in part, or any other use of the works protected by intellectual property hosted on our platform to train artificial intelligence.

In the event that ATENA Education suspects any breach of the above, ATENA Education reserves the right to cancel any user account or restrict your use of our platform.

NO WARRANTY

You confirm that the information you provide to create an account and use our services is accurate.

We do our best to offer reliable, up-to-date, and useful content on our platform. However, errors or omissions may occur. Your use of our platform is at your own risk.

The Services are provided "as is" without warranty of performance, reliability or security. We do not guarantee that the content is always complete, accurate, or available, or that the downloadable files are free of viruses or malware.

You are responsible for the security of your computer and your data. We are not responsible for any damage caused by computer attacks or harmful files.

LIMITATION OF LIABILITY

The information that appears on our platform is the result of our research and the information we had in hand when we worked on its content.   Even if we have done this work with great rigor and application, it is possible that errors have crept into the site or that information is no longer accurate. We cannot therefore guarantee the completeness and accuracy of the information contained therein. As such, we cannot be responsible for your use of the information contained on our site. You are therefore solely responsible for the decisions you make using the information available on our platform.

To the extent permitted by law, ATENA Education cannot be held liable for any loss or damage related to the use of our platform, the unavailability of its services or errors in the content.

If you have any concerns or are dissatisfied with our platform, we invite you to talk to us. We will do our best to find a solution.

INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless ATENA Education and its subsidiaries, affiliates and their respective directors, officers, employees, mandataries, agents, service providers, contractors, licensors, suppliers, successors and assigns from and against any and all claims, liabilities, agreements or awards of damages,  judgment, loss, cost, expense, or fees (including reasonable attorneys' fees) arising out of or related to the violation of these Terms of Use or use of the Services.

PENALTIES

In the event of a breach of these Terms of Use, we reserve the right to apply one or more of the following sanctions, in our sole discretion:

  • You send a formal warning asking you to stop your non-compliant behavior;
  • Temporarily suspend or permanently terminate your access to our platform and/or your user account;
  • Take legal action against you to obtain compensation for damages caused by your breach of the Terms of Use; and
  • Report your behavior to the relevant authorities if we believe your activity is illegal.

These penalties will be applied depending on the severity of your violation and the specific circumstances of each case.

TERMINATION

These Terms of Use take effect when you first use our Services and continue for as long as you use our Services or have an account with us, whichever is longer. Accounts will be maintained during the subscription period and will be renewed in accordance with Section 3 above.

If you fail to comply with these Terms of Use, ATENA Education may, in its discretion: (i) immediately terminate these Terms of Use, with or without prior written notice; (ii) suspend, delete or limit access to your account (and other accounts under your control) or any content on your account; and (iii) to the extent permitted by applicable law, retain any monies owed to you. If ATENA Education deletes your account for violation, you will not be able to re-register.

In the event of any termination or expiration of your subscription, you will remain bound by the provisions of the Terms of Use which, by their terms, impose obligations that extend beyond the termination or expiration hereof, including, but not limited to, the obligations set forth in the following sections: Intellectual Property, License to Use and Reproduce, Limitation of Liability,  Indemnification, Dispute Resolution and General Provisions.

DISPUTE RESOLUTION

ATENA Education's services are offered from the province of Quebec and are aimed at a target clientele mainly in Quebec. Any dispute concerning these Terms of Use or your use of our platform is therefore submitted to a competent court of the province of Quebec sitting in the judicial district of Montreal to the exclusion of any other forum or jurisdiction.

Some jurisdictions do not allow a contract or a dispute related to that contract to be brought before a particular court. As a result, this section may not apply to you.

GENERAL PROVISIONS

No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising out of these Terms of Use shall operate, or shall be construed as a waiver of such right, remedy, power or privilege; and no single or partial exercise of any right, remedy, power or privilege hereunder shall preclude any further exercise of such right, remedy, power or privilege.

If any term or provision of these Terms of Use is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms of Use or invalidate or render unenforceable such term or provision in any other jurisdiction.

CHANGES TO THE TERMS OF USE

We reserve the right, in our sole discretion, to revise and update these Terms of Use from time to time. All such changes are effective immediately upon posting and apply to all access to and continued use of our Platform. You agree to periodically review the Terms of Use for any such changes and your continued use will constitute your acceptance of them.

The information, material and content on our platform may be changed, withdrawn or deleted at any time, in our sole discretion and without notice. We will not be held liable if for any reason all or any part of our platform is restricted to users or unavailable at any time or for any period.
